Terms of Service

These Terms of Service govern your access to and use of the platform Estate Management System (EMS Platform) website, portals, mobile interfaces, and digital services.

Effective Date: October 2, 2026 · Operating Entity: Acre Suites Limited (RC: 8164064 · TIN: 2521565811273)

Important Notice: By creating an estate portal, registering a household, accessing visitor clearance tools, or making or tracking estate payments on EMS Platform, you agree to be legally bound by these terms. If you represent an Estate Executive Committee (EXCO), Landlord Association, Community Development Association (CDA), or Facility Management Company, you represent that you possess the requisite authority to bind your organization.

1. The Service & Operating Entity

EMS Platform is a proprietary estate administration, security clearance, and financial operations software suite owned and operated by Acre Suites Limited, a company duly incorporated under the Companies and Allied Matters Act of the Federal Republic of Nigeria (RC: 8164064, Tax Identification Number: 2521565811273).

The platform provides cloud-based digital infrastructure including automated levy billing and payment tracking, WhatsApp and SMS visitor pass dispatch, gatehouse verification consoles, spending approval controls, and annual general meeting (AGM) audit exports.

2. Account Roles and Responsibilities

Access to EMS Platform is divided into specific role-based permissions:

  • Estate Administrators & EXCOs: Responsible for maintaining accurate community resident rosters, setting levy schedules, reviewing gatehouse security protocols, and managing community financial governance.
  • Treasury Approvers (Chairman & Treasurer): Responsible for verifying vendor invoices and maintaining independent credentials for dual-signature payout authorizations.
  • Landlords & Multiplex Managers: Responsible for configuring unit tenancies, service charge splits, and maintenance oversight.
  • Residents & Tenants: Granted rights to generate visitor access codes, view allocated payment accounts, download verified payment receipts, and receive official estate announcements.
  • Gatehouse Security Personnel: Granted restricted clearance consoles strictly for verifying inbound guest access codes and recording vehicular/visitor arrivals.

3. Financial Transactions & Automated Dues Collections

EMS Platform provides technology infrastructure that interfaces with licensed commercial banks and Central Bank of Nigeria (CBN)-regulated payment service providers so that each estate can hold a single collection account for its levies and service charges. Collection accounts are provided by our licensed payment partner, Bachs, and created when an estate completes Bachs Connect onboarding.

  • Unit References: Residents pay online through the portal, or transfer into their estate's collection account and quote their unit reference code (the estate code plus unit, for example GE-A1). Payments carrying a valid reference are recorded against that household, and residents receive digital receipts.
  • Unidentified Payments: Payments without a recognisable reference are held until an estate administrator assigns them to the correct household.
  • Before an Account Is Connected: Estates may add households before their collection account is set up, but resident payments are only switched on once the estate's own Bachs account is connected. BreeUp does not hold funds on behalf of estates.
  • Fees: A small platform fee and the payment provider's charge are added on top of each bill and shown to the resident before they pay. The estate is credited the full amount it billed.
  • Payment Approvals: Payments out of an estate's account require the estate's security PIN. Estates may also require a designated second approver, who receives a one-time code by email or WhatsApp, for payments above a limit they set.

4. Gate Access Codes & Physical Security Protocols

Visitor access codes generated via WhatsApp or web links are single-use or time-bounded tokens intended to expedite entry at estate gates. Estate administrations remain solely responsible for establishing physical security rules, guard conduct, and vehicular policies. EMS Platform does not provide physical guarding or armed security services.

5. Acceptable Use Policy

You agree not to use EMS Platform to:

  • Process fraudulent transfers, counterfeit alerts, or unauthorized funds;
  • Interfere with, intercept, or circumvent gatehouse security logs;
  • Distribute defamatory, unvetted, or malicious broadcasts to estate residents;
  • Reverse-engineer, decompile, or copy the software code, database architecture, or user interfaces of EMS Platform.

6. Intellectual Property Rights

All trademarks, logos, system software, user interface designs, and proprietary algorithms comprising EMS Platform are the exclusive property of Acre Suites Limited. Estates retain full ownership of their proprietary resident contact lists, internal bylaws, and historical accounting data.

7. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, Acre Suites Limited shall not be liable for any indirect, incidental, or consequential damages resulting from telecommunication network downtime, third-party banking settlement delays, electrical power interruptions at estate gatehouses, or unauthorized actions taken by estate administrators possessing valid credentials.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any controversy or dispute arising out of or relating to these Terms shall first be submitted to mutual amicable resolution. If unresolved within thirty (30) days, the dispute shall be resolved through arbitration in Lagos State, Nigeria, in accordance with the Arbitration and Mediation Act 2023.
